These Terms and Conditions govern your use of our services and form a legally binding agreement between you and Kodistan Solutions.
Service Agreement
- These terms govern the provision of software development, AI solutions, and related services by Kodistan Solutions
- By engaging our services, you agree to these terms and conditions
- Services include but are not limited to: custom software development, AI/ML solutions, mobile applications, website development, and ongoing maintenance
- Each project will have a specific Statement of Work (SOW) detailing scope, timeline, and deliverables
- We reserve the right to refuse service to anyone for any reason at any time
Payment Terms
- Payment schedules are defined in individual project agreements
- For maintenance services, we offer monthly and yearly payment options
- All payments are due within 30 days of invoice date unless otherwise specified
- Late payments may incur a 1.5% monthly service charge
- For client applications with integrated payment gateways, we charge a maximum 2.5% platform fee on transactions processed
- Refunds are subject to our Cancellation & Refund Policy
- All prices are in Rupees unless otherwise specified
Intellectual Property
- Upon full payment, clients receive full ownership of custom-developed software and applications
- We retain rights to general methodologies, techniques, and know-how used in development
- Third-party libraries and frameworks remain under their respective licenses
- We may use project experience as case studies (with client approval and anonymization)
- Clients are responsible for ensuring they have rights to any content or data provided to us
- We reserve the right to use our proprietary tools and frameworks in client projects
Confidentiality
- We maintain strict confidentiality regarding all client information and project details
- Non-disclosure agreements (NDAs) can be signed upon request
- Client data is protected according to our Privacy Policy and applicable data protection laws
- We do not share client information with third parties except as required by law
- For healthcare projects, we ensure HIPAA compliance where applicable
- Confidentiality obligations survive termination of our service agreement
Limitations and Warranties
- We provide services on an 'as-is' basis and make no warranties beyond those explicitly stated
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the amount paid for the specific service in question
- We do not guarantee specific business outcomes or revenue increases
- Clients are responsible for testing and accepting deliverables within agreed timeframes
- We provide bug fixes and support as outlined in individual service agreements
General Terms
- These terms are governed by the laws of India
- Any disputes will be resolved through arbitration in India
- We may update these terms with 30 days notice to active clients
- If any provision is found unenforceable, the remainder of the terms remain in effect
- These terms constitute the entire agreement unless superseded by a signed contract
- Force majeure events excuse performance delays beyond our reasonable control
